These Terms & Conditions ("Terms") govern your access to and use of DKT Pro (the "Service"), a cloud-based document-control software provided by Alekip Tradelink Marketing Services, a business registered in India ("we", "us", "our"). By creating an account, subscribing or using the Service, you agree to these Terms on behalf of yourself and the company you represent ("Customer", "you").
1. The Service
DKT Pro is a software-as-a-service platform for managing project documents, transmittals, reviews, comments, correspondence, approvals and related records. We may improve, modify or discontinue features from time to time, provided we do not materially reduce the core functionality of a paid subscription during its current billing period.
2. Accounts and eligibility
You must be at least 18 years old and authorised to bind your company. You are responsible for the accuracy of account information, for keeping login credentials confidential, and for all activity under your company workspace, including activity by team members and external parties you invite.
3. Subscriptions and free trial
The Service is offered on subscription plans with user and storage limits as described on our pricing page. A free trial may be offered for a limited period; at the end of the trial, continued access requires a paid subscription. Additional users and storage packs may be purchased separately. Users beyond the paid limit may be blocked from signing in until additional seats are purchased.
4. Fees, billing and taxes
Subscription fees are charged in advance on a monthly or yearly basis. Our order process is conducted by our online reseller Paddle.com, which is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to payments and handles returns. Prices are shown in USD unless stated otherwise and exclude applicable taxes, which are calculated and collected by Paddle where required. Subscriptions renew automatically until cancelled. Refunds are governed by our Payment & Refund Policy.
5. Cancellation
You may cancel your subscription at any time from your billing settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you will retain access until then. We do not charge cancellation fees.
6. Customer data
You retain all ownership rights in documents, files and information you upload ("Customer Data"). You grant us a limited licence to host, process and display Customer Data solely to provide and support the Service. Each company's data is kept in an isolated workspace. Our handling of personal information is described in our Privacy Policy.
7. Acceptable use
You agree not to: (a) upload unlawful, infringing or malicious content; (b) attempt to access another company's workspace or bypass security controls; (c) reverse engineer, resell or sublicense the Service without permission; (d) use the Service to send spam or interfere with its operation; or (e) violate any applicable law, including the Information Technology Act, 2000 of India.
8. Intellectual property
The Service, software, design, trademarks and documentation are owned by us or our licensors and are protected by intellectual property laws. Except for the right to use the Service under these Terms, no rights are transferred to you.
9. Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Planned maintenance and events beyond our reasonable control may cause downtime. Support is provided by email during normal business hours.
10. Data export and termination
You may export your data while your subscription is active. We may suspend or terminate access for material breach of these Terms, non-payment or unlawful use. After termination or expiry, Customer Data may be deleted after a reasonable retention period, subject to legal obligations.
11. Disclaimers
The Service is provided "as is" and "as available". You remain responsible for the technical correctness of your project documents, review decisions and contractual communications made using the Service.
12. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, loss of profits, data or business. Our total liability for any claim relating to the Service is limited to the fees you paid for the Service in the twelve (12) months before the event giving rise to the claim.
13. Indemnity
You agree to indemnify us against claims arising from your Customer Data, your breach of these Terms or your misuse of the Service.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
15. Governing law and jurisdiction
These Terms are governed by the laws of India. Any dispute shall first be attempted to be resolved amicably; failing that, it shall be subject to the exclusive jurisdiction of the competent courts in India where Alekip Tradelink Marketing Services is registered.
